1. Engineering & Service Delivery

Exonity Tech provides premium IT consulting, custom web development, cloud infrastructure setup, and digital engineering services. All project scopes, timelines, and deliverables will be clearly outlined in a separate formal agreement, proposal, or statement of work before project initiation.

2. Client Obligations

To ensure flawless deployment, clients must agree to:

• Provide accurate, complete, and timely information required for project execution.
• Ensure they hold the necessary licenses, copyrights, or permissions for any assets (images, logos, text) provided to us for use in their projects.
• Respond promptly to feedback requests to avoid project delays.

3. Intellectual Property Rights

Upon final payment and successful deployment of the project, the copyright and ownership of the final deliverables (website, application, custom code) are transferred to the client. However, Exonity Tech retains the right to:

• Reuse any pre-existing code libraries, open-source frameworks, or foundational logic developed independently of the client’s specific business model.
• Feature the completed project in our portfolio, case studies, or marketing materials unless a specific Non-Disclosure Agreement (NDA) is signed.

4. Payments & Invoicing

Standard payment terms require a specified advance deposit before any engineering work begins. The remaining balance will be due upon project milestones or final deployment. All invoices must be cleared within the agreed-upon timeframe. Failure to clear invoices may result in the suspension of ongoing services or delayed deployment.

5. Limitation of Liability

Exonity Tech strives to deliver 100% bug-free and secure infrastructure. However, we shall not be held liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruptions arising from the use or inability to use our deliverables, third-party server outages, or external cyber threats.

6. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of our website or general services at any time without prior notice. Project-specific modifications will always be communicated directly with the respective client.

7. Governing Law & Jurisdiction

Exonity Tech is a registered MSME entity operating out of Gujarat, India. These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms will be subject to the exclusive jurisdiction of the courts located in Gujarat.
